Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you and BnC Software LLC (“BnC Software,” “we,” “our,” or “us”) governing your access to and use of our website, mobile applications, and all related products and services, including NNS Pro and My Community Cookbook (collectively, the “Services”).

Please read these Terms carefully before using the Services. By accessing or using the Services, you affirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to all of these Terms, you must not access or use the Services.

1. Eligibility

You must be at least 13 years of age to create an account and use the Services. By using the Services, you represent and warrant that you meet this age requirement. If you are under 18 years of age, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. Participation in the Chart Sharing Program requires you to be at least 16 years of age. Financial transactions (including purchasing digital cookbooks or processing donations) require you to be at least 18 years of age or have the consent of a parent or legal guardian.

If you are using the Services on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms, in which case “you” refers to that entity.

2. Account Registration and Security

To access certain features of the Services, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration and keep it updated
  • Maintain the confidentiality of your account credentials and immediately notify us of any unauthorized access or suspected security breach at support@bnc-software.com
  • Accept full responsibility for all activities that occur under your account, whether or not authorized by you
  • Not share your account credentials with any third party or allow others to access the Services through your account
  • Not create more than one personal account; organizations may register one account per legal entity

We reserve the right to suspend or terminate your account if any information provided during registration or thereafter proves inaccurate, false, or misleading.

3. Description of Services

BnC Software provides two primary product lines, each subject to these Terms:

  • NNS Pro: A music tools platform designed to assist musicians with Nashville Numbering System (NNS) charting, song development, session preparation, and musical practice. NNS Pro is a creative tool and does not constitute professional music instruction, publishing, or legal music licensing advice.
  • My Community Cookbook: A digital platform enabling nonprofit organizations to create, publish, sell, and distribute community cookbooks as fundraising vehicles, along with related campaign and resource management tools.

The Services are provided on an “as available” basis. We reserve the right to modify, suspend, or discontinue any feature or the Services entirely at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

4. License to Use the Services

Subject to your compliance with these Terms, BnC Software grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial purposes (or, for nonprofit organizations, for the organization's internal fundraising and community purposes). This license does not include the right to:

  • Reproduce, distribute, publicly display, or create derivative works of any part of the Services or its proprietary components
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Services
  • Scrape, crawl, or systematically extract data from the Services by automated means
  • Resell, sublicense, or commercially exploit the Services or any content obtained through the Services without our express written consent

5. User Content and License Grant

5.1 Your Ownership

You retain full copyright ownership of all songs, NNS charts, musical annotations, recipes, campaign materials, and other original content you create and upload through the Services (“User Content”). These Terms do not transfer any intellectual property rights in your User Content to BnC Software.

5.2 License Grant to BnC Software

By submitting, uploading, or creating User Content through the Services, you grant BnC Software LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, display, reproduce, transmit, and otherwise use your User Content solely to the extent necessary to operate, maintain, improve, and provide the Services to you and, where applicable, to other users (as described in Section 6 for the Chart Sharing Program). This license terminates when you delete your User Content or your account, subject to the retention terms in our Privacy Policy.

5.3 Your Representations

By submitting User Content, you represent and warrant that:

  • You own or have obtained all necessary rights, licenses, consents, and permissions to submit the content and to grant the licenses described herein
  • Your User Content does not infringe, misappropriate, or violate any third-party intellectual property right, privacy right, right of publicity, or any applicable law
  • Your User Content does not contain false or misleading information, defamatory statements, or content that is harmful, offensive, or illegal
  • For NNS charts that reference specific songs or compositions, you have the appropriate rights or licenses to create and share such charts, and you are solely responsible for ensuring compliance with applicable copyright law

6. Chart Sharing Program

NNS Pro includes an optional, opt-in feature (“Chart Sharing Program” or “Program”) that allows users to share their NNS charts with other participating users in exchange for access to the shared community library. The following terms govern participation:

6.1 Voluntary Participation

The Chart Sharing Program is entirely optional. You may use NNS Pro to its full extent without participating. You may opt in or out at any time through your account settings.

6.2 Age Requirement

You must be at least 16 years of age to participate in the Chart Sharing Program.

6.3 License Grant to Other Users

When you designate a chart as “shared” through the Program, you grant each other participating user a limited, personal, non-exclusive, non-transferable, non-sublicensable, royalty-free license to view and use that chart solely for their personal, non-commercial music practice and study. This license does not permit other users to:

  • Copy, reproduce, distribute, publish, or publicly display your charts beyond their own private use
  • Use your charts for any commercial purpose, including teaching for compensation, publication, or sale
  • Claim authorship or ownership of your charts
  • Modify, adapt, or create derivative works from your charts for distribution

6.4 Original Content Requirement

By sharing a chart, you represent and warrant that the chart is your original work and that you have all rights necessary to share it through the Program. Charts that reproduce copyrighted lyrics, melodic transcriptions, or other protected elements of third-party compositions in a manner that would constitute copyright infringement must not be shared through the Program. You are solely responsible for evaluating whether your charts comply with applicable copyright law.

6.5 BnC Software as Neutral Platform

BnC Software acts solely as a neutral hosting platform for shared charts and does not review, endorse, verify, or guarantee the accuracy, originality, completeness, or copyright compliance of any user-shared chart. BnC Software bears no liability for the content of user-shared charts or for any claims arising from their use.

6.6 Content Moderation and Removal

BnC Software reserves the right, at its sole discretion, to review, remove, or restrict access to any shared chart that it reasonably believes violates these Terms, infringes third-party rights, or is otherwise harmful, without prior notice. We are not obligated to monitor shared content but will respond to valid takedown notices pursuant to our DMCA policy (Section 10).

6.7 Withdrawal from the Program

You may withdraw from the Chart Sharing Program and remove your shared charts at any time. Upon removal, your charts will no longer be available to other users going forward. However, BnC Software cannot and does not guarantee retroactive removal of charts that have already been cached, downloaded, or otherwise stored locally on other users' devices prior to your removal request. The per-user license grants described in Section 6.3 for charts accessed prior to removal are not revoked by your withdrawal.

6.8 Access to Other Users' Charts

By accessing charts shared by other users through the Program, you agree to: (a) use such charts solely for your own personal, non-commercial music practice and study; (b) not reproduce, distribute, or commercially exploit such charts in any form; (c) respect the intellectual property rights of the chart's creator; and (d) promptly report any chart you believe infringes copyright or violates these Terms.

6.9 No Guarantee of Availability or Reciprocity

BnC Software does not guarantee the availability, quantity, quality, or accuracy of charts shared by other users. Access to the shared library is provided as-is as a community feature and may be modified, restricted, or discontinued at any time.

7. Prohibited Conduct

You agree that you will not, and will not permit any third party to:

  • Use the Services for any unlawful purpose or in violation of any applicable federal, state, local, or international law
  • Infringe, misappropriate, or violate any third-party intellectual property rights, including copyright, trademark, or trade secret rights
  • Attempt to reverse engineer, decompile, disassemble, or derive source code from any part of the Services, including the NNS charting logic, scoring algorithms, or any proprietary technical systems
  • Use automated systems (bots, scrapers, crawlers, data miners) to access, extract, or harvest data from the Services without our express written permission
  • Upload, submit, or transmit any content containing viruses, malware, trojans, or any other harmful or malicious code
  • Circumvent, disable, or interfere with any security feature, access control, or authentication mechanism of the Services
  • Impersonate any person or entity or falsely represent your affiliation with any person, entity, or organization
  • Harass, abuse, threaten, intimidate, or discriminate against any person, including other users of the Services
  • Use the fundraising or payment features of My Community Cookbook for fraudulent, deceptive, or illegal activities or to misrepresent the nature, purpose, or beneficiary of a campaign
  • Create a false identity or misrepresent your organization's tax-exempt status for the purpose of accessing nonprofit features
  • Systematically reproduce, resell, or commercially exploit any part of the Services without express written authorization from BnC Software
  • Interfere with or disrupt the integrity or performance of the Services or the servers and networks connected to the Services

8. Intellectual Property Rights

8.1 BnC Software Proprietary Rights

The Services and all of their components, features, and functionality — including but not limited to the software, source code, algorithms, logic, user interface designs, graphics, trademarks, service marks, and trade dress — are and remain the exclusive property of BnC Software LLC and its licensors. All rights not expressly granted in these Terms are reserved by BnC Software. Nothing in these Terms transfers any BnC Software intellectual property rights to you.

8.2 Nashville Numbering System

The Nashville Numbering System is a widely-used musical notation methodology in the public domain. BnC Software does not claim proprietary rights to the NNS methodology itself. However, our specific implementation, software tools, charting engine, interface, and all related code and design are the exclusive proprietary property of BnC Software LLC.

8.3 Feedback

If you submit suggestions, ideas, enhancement requests, feedback, or other information regarding the Services (“Feedback”), you hereby grant BnC Software a perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to use, reproduce, modify, distribute, and commercialize such Feedback without restriction and without obligation to you.

9. Copyright Policy and DMCA Notices

BnC Software respects the intellectual property rights of others and expects users to do the same. In accordance with the Digital Millennium Copyright Act (DMCA), we will respond to properly submitted notices of alleged copyright infringement.

If you believe that content available through the Services infringes a copyright you own or control, please send a written notice containing the following information to our designated agent:

  • A physical or electronic signature of the person authorized to act on behalf of the copyright owner
  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the material claimed to be infringing and information reasonably sufficient to locate it within the Services
  • Your contact information (name, address, telephone number, and email address)
  • A statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or law
  • A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner

DMCA notices should be sent to: support@bnc-software.com with the subject line “DMCA Takedown Notice.” We will promptly investigate valid notices and remove or disable access to infringing content. Repeat infringers will have their accounts terminated.

10. Fees, Payments, and Refunds

10.1 Platform Fees

Certain features of the Services may require payment, including subscription fees, per-transaction fees, or platform fees on sales made through My Community Cookbook. The current fee schedule is published within the applicable Service and may be updated with reasonable advance notice. Continued use of fee-based features after a fee change constitutes your acceptance of the updated fees.

10.2 Payment Processing

All payments are processed by our third-party payment processor. By submitting payment information, you authorize BnC Software and our payment processor to charge the applicable fees to your provided payment method. You represent that you are the authorized account holder and that the payment information you provide is accurate and complete.

10.3 Refunds

All fees for digital goods, including digital cookbook purchases and subscription fees, are generally non-refundable once the digital content has been accessed or delivered. Refund requests may be considered at our sole discretion on a case-by-case basis in the event of a proven technical failure on our part that prevented you from accessing purchased content. To request a refund, contact support@bnc-software.com within 14 days of your purchase.

10.4 Taxes

You are responsible for all applicable taxes, levies, or duties associated with your use of the Services and purchases made therein, excluding taxes based on BnC Software's income. Where required by law, BnC Software may collect applicable taxes on transactions.

11. Nonprofit and Fundraising Terms

11.1 Eligibility

My Community Cookbook is designed for use by nonprofit organizations and community groups. Organizations must accurately represent their legal status and purpose when registering. We reserve the right to request documentation of nonprofit or tax-exempt status (such as an IRS Form 990 or determination letter for U.S. 501(c)(3) organizations) and to suspend or terminate accounts that cannot substantiate their nonprofit status.

11.2 Platform Revenue and Fee Structure

BnC Software charges a platform fee on digital cookbook sales and certain other revenue-generating transactions conducted through My Community Cookbook. The applicable fee percentage and structure are disclosed within the platform and may be updated with prior notice. Pure monetary donations processed through the platform are not subject to the platform fee, though payment processor fees may still apply.

11.3 Accuracy and Legality

Organizations are solely responsible for ensuring that all fundraising campaigns, cookbook content, donation solicitations, and related activities conducted through the platform comply with all applicable federal, state, and local laws, including charitable solicitation registration requirements. BnC Software does not provide legal, tax, or accounting advice. The use of our platform does not constitute endorsement of your organization or its activities.

11.4 Prohibited Fundraising Activity

You must not use My Community Cookbook to solicit funds for fraudulent, deceptive, or illegal purposes; to misrepresent the beneficiary or use of funds; to impersonate a legitimate organization; or to engage in any activity that violates the charitable solicitation laws of any applicable jurisdiction. Violations will result in immediate account termination and may be reported to appropriate authorities.

12. Disclaimers of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BNC SOFTWARE LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE SERVICES OR ANY CONTENT THEREIN; WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; AND WARRANTIES THAT RESULTS OBTAINED THROUGH USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE.

NNS Pro is a creative tool intended to assist with musical charting and practice. It does not constitute professional music instruction, music publishing services, music licensing, or legal advice. Reliance on any output generated by the Services for professional, commercial, or legal purposes is at your sole risk.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BNC SOFTWARE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF BNC SOFTWARE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL BNC SOFTWARE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU PAID TO BNC SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

14. Indemnification

You agree to defend, indemnify, and hold harmless BnC Software LLC and its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or access to the Services; (b) your User Content; (c) your participation in the Chart Sharing Program, including any claims by third parties that your shared charts infringe their intellectual property rights; (d) your violation of these Terms; (e) your violation of any applicable law or regulation; or (f) any representation or warranty made by you in these Terms that proves to be false, inaccurate, or misleading.

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before initiating any formal dispute, you agree to contact BnC Software at support@bnc-software.com and provide a written description of the dispute and the resolution sought. The parties will attempt in good faith to resolve the dispute informally within thirty (30) days of such notice.

15.2 Binding Arbitration

If the parties cannot resolve a dispute through informal negotiation, any dispute, claim, or controversy arising out of or relating to these Terms or the Services — including questions of arbitrability — shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (or Commercial Arbitration Rules, as applicable), as modified by these Terms. The arbitration shall be conducted in English and, unless otherwise agreed, shall take place in the county of BnC Software LLC's principal place of business or via remote proceedings. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.3 Class Action and Jury Trial Waiver

YOU AND BNC SOFTWARE EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR ANY REPRESENTATIVE PROCEEDING. ALL DISPUTES MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY. YOU AND BNC SOFTWARE EACH WAIVE THE RIGHT TO A JURY TRIAL TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

15.4 Small Claims Court Exception

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within that court's jurisdictional limit and subject matter scope.

15.5 Injunctive Relief

Nothing in this Section prevents BnC Software from seeking emergency injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights or confidential information.

16. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or the Services shall be governed by and construed in accordance with the laws of the State of Tennessee, United States, without regard to its conflict-of-law principles. To the extent that any claim is not subject to arbitration under Section 15, you consent to the exclusive personal jurisdiction of the state and federal courts located in Tennessee for the resolution of such claim.

17. Termination

BnC Software reserves the right to suspend or permanently terminate your access to the Services, with or without cause and with or without notice, if we determine (in our sole discretion) that you have violated these Terms, created risk or possible legal exposure for BnC Software, or for any other business reason. You may terminate your account at any time by contacting us at support@bnc-software.com. Upon termination, your right to use the Services ceases immediately. Sections 5, 6, 8, 12, 13, 14, 15, 16, and 17 shall survive termination of these Terms.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific features or Services, constitute the entire agreement between you and BnC Software with respect to the subject matter herein and supersede all prior and contemporaneous agreements, understandings, negotiations, and discussions.

18.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

18.3 No Waiver

BnC Software's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of BnC Software to be effective.

18.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without BnC Software's prior written consent. BnC Software may freely assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms shall be binding on permitted successors and assigns.

18.5 Updates to These Terms

We reserve the right to update or modify these Terms at any time. For material changes, we will provide at least 14 days' prior notice by posting the updated Terms on this page with a new “Last Updated” date and, where appropriate, notifying you by email. Your continued use of the Services after the effective date of any change constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.
